Terms of Service

1. Agreement to Terms

By accessing or using TubeVault (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you may not access or use the Service. These Terms constitute a legally binding agreement between you and TubeVault ("we," "us," or "our").

2. Eligibility

To use TubeVault, you must be at least 14 years of age (16 in the EU/EEA), have the legal capacity to enter a binding agreement, and not be prohibited from using the Service under applicable law.

3. Description of Service

TubeVault is a YouTube content curation platform that allows users to organize, manage, and share YouTube content, create collections, and collaborate with others.

3.1 YouTube API Services

TubeVault uses YouTube API Services. By using TubeVault, you also agree to the YouTube Terms of Service (youtube.com/t/terms) and Google Privacy Policy (policies.google.com/privacy). TubeVault is not affiliated with, endorsed by, or sponsored by YouTube or Google LLC.

3.2 Service Availability

We strive to maintain continuous availability but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable advance notice where practicable.

4. Account Registration and Security

Access to certain features requires registration via Google OAuth. You agree to provide accurate information, maintain account security, notify us immediately of any unauthorized use, and accept responsibility for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms or pose a risk to other users.

5. Subscriptions and Billing

5.1 Payment Processing — Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles all payment processing, invoicing, tax compliance, and related obligations. By purchasing a subscription, you also agree to Paddle's Terms of Service and Privacy Policy available at paddle.com/legal.

5.2 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period at the then-current rate unless cancelled before the renewal date. You authorize Paddle (on our behalf) to charge your payment method on file for the applicable subscription fee.

5.3 Price Changes

We will provide at least 30 days' advance notice of any price changes via email. Continued use of the Service after the new price takes effect constitutes acceptance of the new rate.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period and you will retain access to paid features until that date. We do not offer prorated refunds for mid-period cancellations except as required by law.

5.5 EU Consumer Right of Withdrawal

If you are an EU/EEA consumer, you have the right to withdraw from a new subscription contract within 14 days of purchase. However, by requesting immediate access to the Service, you expressly consent to the Service starting immediately and acknowledge that you lose your right of withdrawal once the Service has commenced. To exercise your right of withdrawal before using the Service, contact us through the Support system.

This is required under EU Consumer Rights Directive 2011/83/EU.

6. Refund Policy

Please refer to our separate Refund Policy page for full details. In summary:

All subscriptions include a 30-day money-back guarantee for first-time purchases.

Refund requests must be submitted through the Support system in your dashboard.

Paddle, as Merchant of Record, processes all approved refunds.

EU/EEA consumers have statutory refund rights as described in Section 5.5.

Renewals are eligible for refund within 5 business days of the renewal charge if requested before using the renewed period's features.

7. Content Ownership and License

7.1 Your Content

You retain full ownership of data and content you input into TubeVault, including collections, notes, and organizational structures ("Your Content").

7.2 License Grant

By using the Service, you grant TubeVault a non-exclusive, worldwide, royalty-free license to host, store, display, and transmit Your Content solely to provide the Service. For publicly shared content, you additionally grant TubeVault the right to display such content to other users.

7.3 YouTube Content

TubeVault does not host YouTube videos. All YouTube content accessed through the Service remains subject to YouTube's Terms of Service and the rights of content creators. You are responsible for ensuring your use complies with applicable laws and YouTube's policies.

7.4 Prohibited Content

You agree not to upload or share content that infringes intellectual property rights, is unlawful, contains malware, or violates any applicable law or regulation.

8. Acceptable Use Policy

You must not:

Attempt to gain unauthorized access to the Service or its systems

Use the Service to transmit spam or unsolicited communications

Scrape or use automated tools to access the Service without written consent

Reverse engineer or decompile any part of the Service

Circumvent any technical limitations or access controls

Resell or sublicense the Service without express written permission

9. Account Suspension and Termination

9.1 Termination by You

You may cancel your account at any time through account settings. Access to paid features continues until the end of the current billing period.

9.2 Termination by TubeVault

We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or if continued access poses a risk to the Service or other users. Where possible, we will provide advance notice and an opportunity to remedy the violation.

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will handle your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination shall do so, including ownership, disclaimers, indemnity, and liability limitations.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, TUBEVAULT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

EU consumers retain all statutory rights under applicable consumer protection laws. Some jurisdictions do not allow exclusion of implied warranties, so the above applies only to the extent permitted by law.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TUBEVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL TUBEVAULT'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

These limitations do not apply where prohibited by law, including EU consumer protection laws or liability for death or personal injury caused by negligence.

12. Indemnification

You agree to indemnify and hold harmless TubeVault and its affiliates, officers, directors, and employees from any claims, liabilities, damages, and expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Dispute Resolution and Governing Law

13.1 Informal Resolution

Before initiating formal dispute proceedings, please contact us through the Support system. We will make good-faith efforts to resolve disputes within 30 days.

13.2 Governing Law

EU/EEA users: Laws of your country of residence apply; you may bring claims in your local courts.

Korean users: Laws of the Republic of Korea apply; disputes subject to Seoul Central District Court jurisdiction.

Other users: Laws of the jurisdiction in which TubeVault primarily operates, to the extent permitted by law.

13.3 EU Online Dispute Resolution

EU consumers may use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

14. Changes to These Terms

For material changes, we will notify you via email at least 30 days in advance and display a prominent notice within the Service. Continued use after the effective date constitutes acceptance of the revised Terms.

15. General Provisions

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TubeVault. If any provision is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right shall not constitute a waiver.
